GENERAL CONDITIONS WEB SHOP

  • Scope

SUB ROSA LEGAL is a CVBA with its head office in Brussels and business number 0882.412.958 (hereinafter ‘SUB ROSA LEGAL’). SUB ROSA LEGAL offers natural and legal persons (hereinafter ‘the Client’) the possibility of buying products in its web shop on its website,.

These general conditions ‘WEB SHOP’ apply to the products offered for sale by SUB ROSA LEGAL on its website. The application of other conditions (including those of the Client) is hereby excluded.

  • Price

All prices in the web shop are in Euro. They include VAT and any other duties or taxes incumbent upon the Client.

SUB ROSA LEGAL reserves the right to adapt its prices to new taxes or rate increases.

In the event that additional fees need to be charged, such as booking or administration fees, these will be mentioned separately.

  • Online purchases

The purchase of WEB SHOP products is carried out through online orders on the website. This online purchase commits both parties from the moment the Client confirms payment in the ad hoc environment.

SUB ROSA LEGAL undertakes to send the Client an electronic order confirmation, within 24 hours of payment, unless force majeure, to the email address supplied by the Client during his/her order.

The Client must immeditaly pay the order in full. The following payment methods will be accepted: VISA, Mastercard, Maestro, Bancontact, American Express and bank transfer.

The Client will be asked to supply his/her banking information through a secured payment environment operated by the company Stripe Inc.

All delivered products remain the property of SUB ROSA LEGAL.

In case of non-payment, the Client irrevocably renounces his/her purchase, and no rights are conferred upon him/her.

  • Delivery

Upon receipt of payment, the ordered products will be delivered to the Client within 1 day.

The products will be delivered via electronic mail to the email address explicitly provided by the Client when placing the order.

If it appears the order cannot, or can only partially, be completed, SUB ROSA LEGAL will inform the Client within a short period of time. SUB ROSA LEGAL will send a message to the email address the Client provided when placing the order. In this event, no agreement will have been concluded between SUB ROSA LEGAL and the Client, and all payments for this order will be returned to the Client without undue delay. Under no circumstance will this entitle the Client to compensation.

  • Right of withdrawal

The online sales contract concluded between SUB ROSA LEGAL and the Client is a distance contract. Nonetheless, the provisions of Article VI.47 of the Code of Economic Law do not apply, as the products offered in the WEB SHOP fall in an excepted category for which the right to withdrawal cannot be exercised. Specifically, the products fall in the category ‘digital content not supplied on a physical medium’ (VI.53, 13 ° of the Code of Economic Law).

When confirming payment of the order, the Client explicitly accepts delivery of the ordered products before the end of the withdrawal period of 14 days and expressly accepts loss of his/her right of withdrawal.

  • Complaints

SUB ROSA LEGAL’s client service can be contacted only through electronic mail to the email address webshop@sub-rosa.be. Complaints should only be sent to this email address.

  • Protection of personal data

Please consult SUB ROSA LEGAL’s privacy policy, available on the website, for information about the use and processing of personal data.

SUB ROSA LEGAL’s liability is limited to the legal liability.

The products on offer are standard clauses and/or contracts. They do not contain any personal or personalised legal advice. It may be that these products need to be adapted to the Client’s particular circumstances. The use of these products is the sole responsibility of the Client. The Client is welcome to contact SUB ROSA LEGAL in order to receive legal advice tailored to his/her specific needs.

When providing such tailored advice, SUB ROSA LEGAL’s general conditions (LAW FIRM) apply. The general sales conditions in the Code of Economic Law do not apply (Article VI.44/1 Code of Economic Law).

SUB ROSA LEGAL cannot be held liable for the use of these model contracts and/or clauses by the Client. Nor can SUB ROSA LEGAL be held responsible for any other damage related to the Client’s specific circumstances, which are not taken into account when drafting the standardised products on offer in the web shop.

In addition, SUB ROSA LEGAL is not responsible for any damage caused, directly or indirectly, by error or negligence on the part of the Client or third parties.

  • Intellectual property

The Client obtains a strictly personal and non-transferable licence to use the delivered products. Any reproduction, in full or in part, of the products for non-personal purposes is prohibited, regardless of the medium used.

  • Validity

The nullity of one or multiple provisions of these general conditions shall not affect the other provisions, which will remain fully applicable.

  • Forfeiture

Inaction by SUB ROSA LEGAL cannot be interpreted as a waiver of rights.

  • Disputes

The contractual relationship between SUB ROSA LEGAL and the client shall be governed by Belgian law. In the event of a dispute, the parties shall first try to reach an amicable solution.

The Client has the option of turning to the European Online Dispute Resolution Platform: https://ec.europa.eu/consumers/odr/main/?event=main.home.show.

In the event that no amicable resolution can be reached, the courts of Brussels will have sole jurisdiction, except in cases where professional or disciplinary bodies may be competent to deal with the dispute. SUB ROSA LEGAL also has the right to bring cases before the courts of the domicile or seat of the client.
